Corporate Secretary
Leonteq is seeking a Corporate Secretary in Lisbon to support the Executive Committee in organizing meetings, taking minutes, and managing the policy management framework. The position requires a degree in law or business, fluency in English, and a high level of attention to detail and discretion.
Tasks
- Attendance at EC meetings in the capacity of Corporate Secretary and preparation of accurate minutes and summaries of the related discussions
- Maintenance and management of the EC's open action lists, including documentation of agreed-upon measures on governance issues
- Organizing and coordinating Executive Committee meetings, including planning the agenda, documenting the minutes, and recording the related discussions
- Supporting senior management and senior executives in overseeing the effective fulfillment of their responsibilities
- Support in structuring and documenting decisions, resolutions, instructions, and similar matters throughout the company
- Developing and managing policy management frameworks, as well as implementing plans related to corporate governance, risk management, and compliance; assisting the Legal and Compliance departments in responding to potential management comments; and supporting the coordination and execution of operational and technical implementation activities for the rollout and communication of internal policies
- Coordinate the publication of the EC's open action lists while ensuring comprehensive documentation and effective follow-up on EC matters
- Support for internal and external audit inquiries regarding EC protocols, materials, or related topics from the past
- Coordinate internal and external meetings as needed to ensure effective executive and strategic decision-making within the EC; interact with site managers regarding the content and structure of policies, and provide advice and business support to EC stakeholders
- Overseeing the Policy Management Framework (including reporting to the EC), guidelines, and other corporate governance tools
- Ensuring that site/resident managers are informed about relevant topics that have been discussed and decided upon
- Overseeing and coordinating policy management (including internal monitoring of Group policies, reporting to the EC—including annual policy reviews and adherence to the approval process—ensuring company-wide quality in policy management and communication during policy development and review, and advising the EC to ensure appropriate policy decisions)
Requirements
- Bachelor's degree or equivalent (in business/law), law, business administration, or a related field
- Fluency in English
- Excellent attention to detail and thorough execution skills; highly organized to meet complex deadlines, make decisions, and obtain approvals
- A high degree of confidentiality, a high degree of discretion
- Strong communication skills and the ability to interact with and negotiate with stakeholders
- A solution- and service-oriented individual; eager to learn and willing to take on responsibility and be accountable
- An understanding of corporate governance matters and/or a willingness to learn about them
Desirable
- Knowledge of German
- Knowledge of Swiss corporate law
