Legal Counsel in Corporate Finance (80–100%)
UBS is seeking an experienced legal counsel who is licensed to practice law in Switzerland for its Corporate Finance department in Zurich. The role involves providing legal advice on structured and syndicated loan agreements, as well as supporting business partners on matters related to corporate governance and transaction execution.
Tasks
- Advice on all legal matters related to structured and concerted credit agreements, including the negotiation of concerted and bilateral credit agreements and related financial documents
- Provide our business partners and other risk functions with clear, precise legal advice
- Help us—together with all our business partners—to foster an open and collaborative approach to how we work in the Central Legal Department as “one team”; promote knowledge and expertise within the team and across Global Regulatory Standards Services (GRSS); and support other legal departments with governance and compliance issues
- Support other central legal departments and manage external law firms
- Provide legal support (often in collaboration with external legal counsel) to assist our business partners and manage transactions
- Participate in the onboarding process for new business partners (e.g., by drafting investment/agency mandates, reviewing due diligence reports, and coordinating with the relevant teams)
- Advise our business partners on corporate governance matters; take a leading role in overseeing Group Legal’s corporate governance and strategy efforts in collaboration with other legal departments (e.g., Corporate Actions, CIL, ILA, M&A, etc.), while also conducting peer reviews of legal documentation and drafting specific legal documents
- Support the implementation of new or updated corporate finance products, including the preparation of term sheets and product fact sheets
Requirements
- Master's degree in law and admission to the Swiss bar
- Several years of professional experience after earning the qualification
- A strong economic understanding of complex financial structures
- Strong communication skills and a sense of urgency

- Fluency in English and German
