Legal Counsel

The position of Legal Counsel at a bank in Zurich involves assisting the head of the legal department with all of the bank's legal matters in Switzerland. The job description involves assisting the Head of Legal with all of the bank's legal matters in Switzerland.

Tasks

The most important tasks include:
  • Comprehensive legal advice provided by a small team (primarily in the areas of banking, data protection, corporate law, contracts, and regulatory matters)
  • Legal advice regarding the approval and distribution of financial products, the development of new banking products, or during the implementation of the bank's new projects
  • Review, drafting, and negotiation of contracts (distribution agreements, contracts with market data providers, trading platforms, and brokers, IT service providers, and intra-company agreements)
  • Preparation and review of corporate documents (including minutes of shareholders’ meetings, excerpts from board of directors’ meetings, organizational bylaws, articles of incorporation, internal policies, and procedures)
  • Handling inquiries from government agencies and drafting correspondence with FINMA, to the extent that such correspondence relates to corporate matters
  • Assisting the front office in preparing customer documents
  • Managing the bank's regulatory radar and participating in regulatory projects (identifying legal requirements and providing advice on implementation)
  • Minor administrative tasks, as needed (e.g., filing, preparing presentations, scheduling calls)

Requirements

The most important requirements include:
  • At least 2 years of experience in a legal role, preferably in the banking industry
  • Professional knowledge and experience in contract law, particularly in drafting, reviewing, and negotiating contracts in various areas of law
  • Good communication skills, ability to work in a team, strong interpersonal and social skills
  • Knowledge of the financial industry, market regulations, data protection laws, and corporate transactions is desirable but not required
  • Ability to work under pressure, meet deadlines, and thrive in a fast-paced work environment
  • Taking ownership of one's own projects
