Legal Counsel

The job description involves assisting the Head of Legal with all of the bank's legal matters in Switzerland.

Tasks

The most important tasks are:
  • Comprehensive legal advice provided by a small team of two (primarily in the areas of banking, data protection, corporate law, contracts, and regulatory matters)
  • Legal advice regarding the approval and distribution of financial products, the development of new banking products, or during the implementation of new bank projects
  • Review, drafting, and negotiation of contracts (distribution agreements, contracts with market data providers, trading venues, and brokers, IT service providers, and intra-company service agreements)
  • Preparation and review of corporate documents (including minutes of shareholder meetings, minutes of board of directors’ meetings, organizational regulations, articles of incorporation, internal policies, and procedures)
  • Handling inquiries from government agencies and drafting correspondence with FINMA, to the extent that such matters relate to corporate affairs
  • Assisting the front office in preparing customer documents
  • Managing the bank's regulatory radar and participating in regulatory projects (providing legal requirements and advising on implementation)
  • Minor administrative tasks, as needed (e.g., filing, preparing presentations, scheduling calls)

Requirements

The most important requirements are:
  • At least 2 years of experience in a legal role, preferably in the banking industry
  • Professional expertise and experience in drafting, reviewing, and negotiating contracts across various areas of law
  • Strong communication skills, teamwork, and excellent interpersonal and social skills
  • Knowledge of financial industry regulations, market regulations, data protection laws, and corporate transactions is desirable but not required
  • Ability to work under pressure, meet deadlines, and thrive in a fast-paced work environment
  • Taking ownership of one's own projects
  • Education: Master’s degree in law (Switzerland); admission to the bar is a strong plus
  • English is required; Portuguese and/or German is a strong plus
  • Strong analytical and organizational skills
  • Ability and interest in working in an international environment
  • Ability to work independently
