Senior Company Secretary

The Senior Company Secretary will be responsible for coordinating entity set-ups, managing company records and ensuring compliance with regulatory requirements. The candidate should have experience in a related field, team management experience and knowledge of Irish and Luxembourg corporate, tax and regulatory requirements.

  • Senior Company Secretary

Tasks

  • Entity Setup: Help coordinate the setup of new entities, including drafting and filing required documents, communicating with legal and tax advisors, and ensuring compliance with regulatory requirements.
  • Day-to-day management: maintaining statutory records, managing corporate governance and ensuring timely filings and compliance with local laws.
  • Board Meeting Process: Leading a team responsible for organizing and conducting board meetings for over 250 units, ensuring that all documents are prepared and managed efficiently.
  • Entity KYC Requests: Monitoring the processing of Know Your Customer (KYC) requests for entities, ensuring compliance with regulatory standards.
  • Bank Account Opening: Monitoring the process of opening and managing bank accounts for entities.
  • Information Provision: Managing the provision of information to stakeholders, ensuring accuracy and timeliness.
  • Student Oversight: overseeing the activities of student interns, providing guidance and support, and using the internship program as a pipeline for future team members.
  • Liquidation: Managing the orderly liquidation of entities, including preparing and filing required documents, communicating with stakeholders and ensuring compliance with all regulatory requirements.
  • Section 110 SPV Entities: overseeing the establishment and ongoing administration of Section 110 SPV entities, ensuring compliance with the specific requirements of the Irish Tax Act 1997, including the ongoing administration of profit sharing notes, regulatory filings and maintenance of required documentation.
  • Stakeholder management: Function as the primary contact for entity-related inquiries from internal and external interest groups.

Requirements

  • At least 5 years' experience in a related field with team management experience
  • Strong knowledge of Irish and Luxembourg corporate, tax and regulatory requirements
  • Experience with Section 110 SPV units, including their establishment and ongoing management
  • Experience in leading, managing and developing a team
  • Certifications: Professional qualification in accounting, corporate law, law, tax law (e.g. ICSA, ACCA, CTA) or equivalent
  • Skills: Strong analytical and investigative skills, excellent communication skills and proficiency in relevant software and tools
