Structured Notes Lawyer, Global Markets (Vice President / Executive Director)
Nomura is seeking a Structured Notes Lawyer (VP/ED) in London who will be responsible for the structuring, documentation, and legal compliance aspects of structured securities, particularly equity products. The candidate should have in-depth knowledge of European financial regulations (MiFID II, PRIIPS, FCA) as well as experience collaborating with internal stakeholders and third-party providers.
Tasks
- Work closely with the Structured Notes Businesses, with responsibility for structuring, negotiating, documenting, and executing a range of transactions, with a primary focus on equities
- Strong analytical skills for understanding complex and customized structures, the ability to collaborate effectively with the business unit, and coordination with corporate stakeholders to help the company manage complex transactions
- Interpretation, training, and support regarding the application of regulatory and internal governance requirements affecting the Structured Notes Businesses, particularly with regard to product and conduct rules
- In-depth knowledge of the Prospectus Regulation, along with the ability to understand its key elements, including Final Terms and Issuer Summaries
- Focus on equity-linked products; experience with other asset classes is a plus
- Extensive experience in retail structured securities offerings in the Nordic countries and other key European regions, in compliance with MiFID II, PRIIPS, Retail, and Senior Bank requirements
- Background in working with third-party distributors and related laws and regulations; working knowledge of the FCA guidelines for banks and related requirements under MiFID II, PRIIPs, and regulations governing retail and senior banking
- Experience analyzing third-party distribution across multiple jurisdictions, laws, regulations, and stock exchange listing and reporting requirements
- Knowledge of ISDA equity and note definitions is a plus, as is the ability to implement them in both balance sheet and off-balance-sheet note programs
- Extensive experience with product documentation in accordance with the new FCA Product Intervention requirements, and close collaboration with senior legal, compliance, and corporate stakeholders to provide advice on new products and initiatives in line with internal governance requirements
- Demonstrate an understanding of the company’s risk profile and control framework (as outlined in the Global RM Code and Global Markets Risk Framework) and collaborate with the business unit to develop responsible and effective strategic innovations
- Supporting the training and professional development of team members

Requirements
- In-depth knowledge of the Prospectus Regulation
- Extensive experience in the field of retail structured securities offerings
