Trainee Company Secretarial Assistant

Men Mourn is seeking a Trainee Company Secretarial Assistant in London to assist the team with administrative tasks such as preparing board materials, maintaining corporate records, and providing support on compliance matters. The ideal candidate will have a relevant college degree, knowledge of U.K. corporate law, and a good command of English.

Job Description

  • The primary purpose of the position is to provide administrative support to the Corporate Secretary’s Office. This will include a range of duties and tasks related to the preparation, compilation, and distribution of board materials, including meeting minutes. The Corporate Secretary is responsible for a variety of corporate secretarial duties, and the incumbent will assist with and support these functions.
  • Under the direction of their supervisor, the person in this position will:
  • Carry out the day-to-day responsibilities of the Company Secretarial department.
  • Maintain company records and registers.
  • Prepare board papers, including information packs, along with the appropriate board materials, minutes, and other documents.
  • Prepare securities exchange filings as required.
  • Assist the Company Secretary with a wide range of administrative duties and tasks related to the provision of company secretarial services.
  • Assist in the preparation of the annual report.
  • Organize and manage Board meetings and ensure that accurate Board minutes are prepared and distributed.
  • Maintain a register of company records and a comprehensive library of Board documentation.
  • Liaise with external legal advisors and assist in the preparation of board minutes.
  • Coordinate and manage the preparation and distribution of Board communication materials.
  • Maintain a list of company contacts and assist with coordinating communications with the Board.
  • Prepare and maintain board notices and company documentation.
  • Provide administrative support to the Company Secretary Team.
  • Assist with the preparation and distribution of Board communication materials and records.
  • Provide support for any other corporate secretarial duties as needed.

Technical Competencies

  • The successful candidate will be expected to have the following technical knowledge and experience:
  • High proficiency in Microsoft Word, Excel, and PowerPoint.
  • Strong written and verbal English communication skills; high level of fluency in English.
  • In-depth knowledge of the UK companies and corporate governance landscape (including the UK Companies Act 2006, reporting, accounting, and disclosures).
  • A good understanding of the Companies Act (2006) and company secretarial procedures.
  • Understanding of the London Stock Exchange Listing Rules.
  • Ability to process large amounts of data quickly and efficiently.
  • Proficient in the use of electronic data management systems.
  • Experience using various electronic tools to manage data and documents.
  • Knowledge of UK corporate reporting requirements and regulations.
  • Good knowledge of UK taxation, accounting, and financial reporting requirements.
  • A basic understanding of data security and data protection considerations.
  • Experience with data processing and document management systems.
  • Familiarity with basic data architecture concepts, including data modeling, security protocols, data backup and restore, and data migration.
  • Knowledge of IT infrastructure systems and how they relate to data management.
  • Good understanding of the Microsoft Office suite (Word, Excel, PowerPoint).
  • Proficiency in the English language.
  • Ability to work effectively as part of a team.

Work Experience

  • You may have up to 2 years of work experience in the investment management sector, including a relevant degree in accounting, investment management, financial reporting, or business law.

Education

  • A university or college degree in a relevant field of study, such as accounting, finance, law, or economics.
