Vice President, Legal Counsel

The Vice President, Legal Counsel, is responsible for handling complex corporate, commercial, and regulatory legal matters at Sygrum in Singapore. The candidate should have experience in the financial services sector, particularly in the area of digital assets and fintech, and be able to work independently and as part of a team.

Job description: Vice President, Legal Counsel

About the role

This role combines independent contributions with collaborative support, focusing on complex legal matters in the areas of corporate law, commercial law, and regulation.

Main tasks

  • Act as lead transaction and contract counsel for the Singapore office, independently drafting, reviewing, and negotiating a wide range of agreements, including those related to digital assets, payment services, and traditional securities such as funds, stocks, bonds, and derivatives; ensuring compliance with Singapore law, regulatory requirements, and internal policies.
  • Support the Head of Legal and Compliance in obtaining and maintaining financial services licenses (e.g., Capital Markets Services (CMS), Major Payment Institution (MPI)) and any new or evolving licenses issued by the MAS or other regulatory authorities.
  • Act as data protection officer and secretary for various governing bodies and committees of the Singapore office; ensure that proper records and minutes are created, maintained, and filed in accordance with data protection laws and other applicable legal and regulatory requirements.
  • Advice on a wide range of legal and regulatory matters, including contract law, corporate governance, data protection, risk management, and financial services regulation.
  • Work with internal teams from business, compliance, risk, marketing, and operations to identify legal risks and propose pragmatic, business-friendly solutions to enable growth while ensuring regulatory compliance.
  • Internal company management, maintaining accurate legal records and documentation to meet regulatory, audit, and governance requirements.
  • Continuously monitor developments in financial services laws, including fintech, blockchain, capital markets, and derivatives; proactively advise the business side on risks, compliance, and market opportunities.

Requirements

What you offer

  • A law degree from a prestigious university and admission to the bar.
  • At least 5 years of experience in the MAS-regulated financial services industry or a similar environment.
  • Strong foundation in banking law, fund law, corporate law, data protection law, and contract law, with a solid understanding of regulatory frameworks.
  • Excellent writing, negotiating, and research skills, coupled with a practical, solution-oriented approach to complex problems.
  • High integrity, sound business judgment, and the resilience to effectively manage multiple priorities in a dynamic, fast-paced environment.

Nice to Have

  • Familiarity with the Payment Services Act, Securities and Futures Act, PD
