This Vice President position is based at our office in Wilmington, Delaware. The successful candidate will be part of a team responsible for overseeing transfer agent services for closed-end funds, open-end funds, and ETFs, as well as supporting and managing shareholder proxy campaigns for our registered fund products. This multifunctional role involves responsibilities that include collaborating with various internal BlackRock teams to support the entire lifecycle of our funds. In addition, this role will work closely with our transfer agent service partners to ensure that a consistent, high-quality service level is maintained.- Serve as the primary point of contact for TA-related issues or concerns, collaborate with the supplier to resolve issues, carry out ad hoc projects, raise concerns internally within BLK, and work with the TA to continuously improve controls in order to mitigate risks.
- Coordinate fund adjustments, including managing proxy vendor and shareholder voting campaigns, re-registering funds with service vendors, mergers, liquidations, and reviewing source data for prospectuses and financial reports.
- Review internal written operational procedure documents for risks and potential improvements.
- Project management of shareholder proxy campaigns, various service vendors, and other fund-related events.
- Verifying the accuracy and completeness of proxy campaign vendor cost and billing estimates.
- Develop and implement comprehensive proxy solicitation strategies, including identifying trends and analyzing proxy materials, to provide guidance for corporate governance initiatives.
- Ensure that shareholder proxy materials comply with SEC rules and regulations.
- Assist in the preparation of shareholder communications to raise awareness and encourage investor participation in voting.
- Preparing and/or reviewing fund-related reports to ensure compliance with various regulatory requirements, industry best practices, and board reporting standards.
- Other tasks and projects, as assigned.
Requirements
- 5+ years of experience in the administration of investment fund transfer agents, with expertise in monitoring proxy campaigns and/or project management skills.
- Demonstrated ability to think strategically, build strong relationships with external service providers and internal stakeholders, and implement plans.
- Demonstrate a mature risk management approach, including the ability to proactively identify, address, and mitigate operational vulnerabilities and improve the governance model.
- Strong relationship-building skills
